Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SalesBuddy CRM platform ("SalesBuddy", "we", "us"). By creating an account, you agree to these Terms on behalf of yourself and the organization you represent.
1. Who May Use SalesBuddy
SalesBuddy is a business-to-business sales and operations platform intended for licensed cannabis operators, brands, sales agencies, independent representatives, and their ancillary service providers. You must be at least 21 years of age and authorized to bind your organization.
SalesBuddy is software. We do not cultivate, process, distribute, transport, sell, or take possession of cannabis or any regulated product. You are solely responsible for holding and maintaining every license, permit, and registration your operations require.
2. Accounts, Seats, and Plans
Paid plans are sold on a per-organization basis and include a defined number of user seats. Exceeding your seat allotment requires an upgrade. Buyer and fulfillment-partner guest portals are provided at no charge and do not consume seats.
You are responsible for all activity under your account, for keeping credentials secure, and for promptly removing access for users who leave your organization.
3. Fees, Billing, and ACH Authorization
Subscription fees are billed in advance on a recurring monthly or annual basis at the rate for your plan tier. Where you authorize recurring electronic debits (ACH), you are granting a standing authorization for the amount and interval disclosed at the time of consent. We retain that authorization record as required by NACHA rules.
A change in price or bank account requires a new authorization. You may revoke authorization by cancelling your subscription; revocation stops future debits but does not entitle you to a refund of amounts already billed. Free trials convert to paid plans at the end of the trial period unless cancelled beforehand. Fees are non-refundable except where required by law.
4. Your Data and Content
You retain all rights to the data you enter into SalesBuddy, including your accounts, contacts, orders, catalogs, and agreements. You grant us a limited license to host, process, and transmit that data solely to operate and support the platform.
You represent that you have the right to enter any third-party data you upload — including contact information — and that doing so complies with applicable privacy, anti-spam, and telephone consumer protection laws. Full account data export is available on request.
5. License Registry Data
SalesBuddy indexes publicly published state licensing data, including Michigan Cannabis Regulatory Agency license exports. This data is provided for convenience and is only as current and accurate as the source publication. A "verified" indicator in the platform means a record was matched to a registry entry — it is not a representation that a license is in good standing.
You must independently confirm a counterparty's licensure and standing with the applicable regulator before transacting. We are not liable for transactions entered on the basis of registry data.
6. Electronic Signatures and Generated Documents
The platform facilitates electronic signature of purchase orders, supply agreements, and related documents, and generates invoices and tax calculations from the data and configuration you supply. You agree that electronic signatures captured through the platform are valid and binding.
Tax determinations, commission calculations, margin figures, and compliance records are outputs of your inputs and settings. They are not tax, accounting, or legal advice, and you are responsible for reviewing them and for your own regulatory filings and remittances.
7. Partner and Counterparty Access
The platform allows you to extend scoped access to external parties — buyers, brokers, transporters, co-packers, and agencies — including through expiring token links that do not require an account. You are responsible for who you invite and what you authorize them to see. We are not a party to, and take no responsibility for, the commercial agreements you form with them.
8. Acceptable Use
You may not use SalesBuddy to violate any law or regulation; to facilitate the sale or transfer of regulated product outside a licensed, compliant channel; to send unlawful communications; to scrape, resell, or redistribute the platform or its registry data as a standalone product; to attempt to access another organization's data; or to interfere with the platform's operation or security.
9. Availability, Suspension, and Termination
We aim for continuous availability but do not guarantee uninterrupted service, and we may modify or discontinue features. We may suspend or terminate access for non-payment, for violation of these Terms, or where required by law or by a payment provider.
You may cancel at any time. Following termination, you may export your data for a reasonable period, after which it may be deleted.
10. Disclaimers and Limitation of Liability
The platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost commissions, or lost data. Our total aggregate liability arising out of or relating to the platform will not exceed the amount you paid us in the twelve months preceding the claim.
11. Indemnity
You will indemnify and hold us harmless from claims, damages, and expenses arising from your use of the platform, your data, your regulatory compliance or lack thereof, and your commercial dealings with counterparties.
12. Changes to These Terms
We may update these Terms. Material changes will be communicated through the platform or by email before taking effect. Continued use after the effective date constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Michigan.
